On 28 January 2010 INEOS ChlorVinyls completed a process to re-finance and re-structure its business outside the main INEOS Group. The Company remains a major business of INEOS.

The refinancing and restructuring was achieved through the successful issue of a High Yield Bond to the markets. The Bond, issued under the name of Kerling plc, represented an offering of €785 million Senior Secured Notes, due 2017. The Notes were issued at a price of 99.393%, resulting in a yield of 10.75%. Since closing, the Bond has been trading above par, reflecting continued confidence in the business.

The Company continues to trade under the ChlorVinyls name, which incorporates the former Kerling businesses purchased by INEOS from Norsk Hydro in 2008. INEOS ChlorVinyls is Europe’s leading producer of PVC and caustic soda. The Company is one of the lowest cost producers of PVC, benefiting from vertical integration, access to low cost feed-stocks and efficient and well-invested manufacturing facilities. INEOS ChlorVinyls continues to trade profitably, producing positive cash flows in bottom-of-cycle conditions.

Through the issue of the Bond INEOS ChlorVinyls has secured its financing arrangements for the next seven years, providing a platform for the future development and growth of the business.
